Comprehensive Review of a State-Owned Company
Objective: The review is intended to provide an objective, fact-based picture of the company’s past operations and its actual financial, legal and organisational position, while identifying risks and opportunities for improvement. On this basis, we determine how its operations can be aligned with the government’s and the shareholder’s new objectives, the effective delivery of its public-service mandate and sustainable financial management.
Deliverables: The client receives an evidence-based review report setting out the issues identified, their likely consequences and the order of priority for the necessary measures. We also deliver the recommended strategy and an implementation plan specifying concrete tasks, accountable owners, deadlines, resource requirements and measurable targets.
We align the shareholder’s objectives and define the scope of the engagement.
Together with the client, we clarify the role envisaged for the company under the government’s new policy direction, the questions the review must answer and the decisions it must support. We define the period under review, the timetable and the access required.
We collect the relevant documents and develop an understanding of how the company actually operates.
We request the financial statements, contracts, internal policies, business plans and management decisions. We interview senior executives and employees in key functions, and compare documented processes with day-to-day practice.
We establish the company’s true financial and asset position.
We examine revenues, costs, receivables, liabilities, assets and financing requirements. We identify sources of loss, items with uncertain returns and future payment obligations.
We conduct the legal due diligence.
We review the ownership and governance arrangements, material contracts, procurement and public procurement practices, employment matters and legal disputes. We identify legal risks and assess the available options—and their implications—for amending or terminating contracts and pursuing potential claims.
We assess the organisation’s operational capacity and efficiency.
We examine how responsibilities are discharged, as well as the organisational structure, staffing levels, capabilities, decision-making processes and IT environment. We identify duplicated activities, capacity gaps, unjustified costs and critical operational dependencies.
We review significant past decisions and commitments.
We examine the objectives behind investments, outsourcing arrangements and major commercial agreements, how they were implemented and what results they produced. We distinguish commercially disadvantageous decisions from cases that may indicate irregularities, and flag matters requiring further targeted investigation.
We present the findings and identify the most urgent actions.
We support our conclusions with evidence, quantified impacts wherever possible and a clear order of priority. Matters requiring immediate intervention are brought to the client’s attention during the engagement rather than only in the final report.
We develop and compare alternative future operating models.
In light of the new policy and shareholder objectives, we assess which activities should be retained, developed, reorganised or discontinued. We set out the financial impact, legal requirements, risks and implementation timeframe of each option, and recommend the strategy to be pursued.
We deliver an actionable implementation plan.
For the selected course of action, we define the priorities for the first 100 days and the longer-term measures, together with accountable owners, deadlines, costs and performance indicators. The engagement concludes with an executive decision brief, a detailed review report and the materials required to support shareholder decisions.
We perform the above tasks in close professional cooperation with our partner law firm.
